Terms of Service

These Terms of Service (“Terms”) govern your access to and use of StudyFlow, including our website, applications and AI-powered study tools (the “Service”), operated by StudyFlow. By creating an account or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
By accessing or using StudyFlow, you confirm that you have read, understood and agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Eligibility and Age Requirements
Minimum age
You must be at least 13 years old to create a StudyFlow account. The Service is not directed at, and we do not knowingly collect personal information from, children under 13.
Users under 18
If you are between 13 and 18 years old (or the age of legal majority in your jurisdiction, if different), you may only use StudyFlow with the involvement and consent of a parent or legal guardian, who agrees to be bound by these Terms on your behalf where required by law.
Educational institution accounts
If you use StudyFlow through an account provisioned by a school or educational institution, additional terms agreed between StudyFlow and that institution may apply and will be made available to you separately.
3. Description of Service
StudyFlow is an AI-powered study platform that helps you generate summaries, flashcards, practice tests and exams, and study guides from notes, documents, images and audio recordings you provide. Certain features, including a contextual chatbot and persistent notes storage, allow content to be linked across study sessions to provide ongoing context. The Service operates on a credit-based system, with paid and limited free credit allowances as described below.
4. Account Registration and Security
You must register using accurate information and a valid sign-in method, and you are responsible for keeping your account credentials confidential and for all activity that occurs under your account. Notify us promptly at support@studyflow.best of any unauthorized use.
You may not share your account with others, or create multiple accounts to circumvent credit limits, free allowances or other restrictions.
5. Credits, Payments and Refunds
Credit system
Access to AI-generation features is governed by credits. Credits may be purchased, earned through limited free daily allowances (including ad-supported credits), or provided as part of a promotional offer.
Free daily credits
Free daily credits, where offered, are limited in quantity (currently up to 5 per day) and may be modified or discontinued at our discretion.
Purchases are non-refundable
Purchased credits are non-refundable as monetary refunds once the purchase is completed, except where required by applicable law.
Credit restoration for failed generations
If an AI generation fails to complete, produces no usable output due to a system error, or is refused by the AI for reasons unrelated to a violation of these Terms, the credits charged for that request are automatically restored to your balance, and you are shown the reason for the failure at the time it occurs.
Credits do not expire
Credits do not expire for as long as your account remains active and in good standing.
Pricing changes
We may modify pricing, the credit cost of specific features, or free credit allowances at any time. Material changes will be communicated through the platform in advance where practicable.
Payment processing
Payments are processed through a third-party payment processor. We do not store your full payment card details on our servers.
6. User Content and Uploads
You retain ownership of any notes, documents, images, audio or other content you upload (“User Content”). By uploading User Content you grant StudyFlow a limited, non-exclusive license to store, process, transmit and analyze that content solely to provide and improve the Service to you, including generating study materials and enabling features such as notes linking and chatbot context.
You represent that you have the right to upload any content you submit, including:
- Content that includes other identifiable individuals, such as audio recordings of classes, lectures or study groups. By uploading such recordings you confirm you have the right to record and share that content, including any consent required from other participants under applicable law.
- Content that does not infringe the intellectual property, privacy or other rights of any third party.
You may not upload content that is illegal, malicious or infringing, including copyrighted course materials you are not authorized to use beyond personal study.
7. Acceptable Use
You agree not to:
- Use bots, scripts or automated tools to interact with the Service.
- Attempt to bypass credit limits, free allowances or other usage restrictions.
- Upload malicious, illegal or inappropriate content.
- Reverse engineer, decompile or attempt to extract the Service's underlying source code or models.
- Use the Service to generate content that violates applicable law.
- Share or redistribute AI-generated study materials for commercial purposes.
- Upload audio, images or other content involving identifiable third parties without the necessary rights or consent.
- Attempt to access another user's account, data or study content without authorization.
8. AI-Generated Content
Content generated by StudyFlow's AI — including summaries, flashcards, practice tests, exam grading and chatbot responses — is a study aid only and is not a substitute for instruction from a teacher or qualified professional. We do not guarantee the accuracy, completeness or grading correctness of AI-generated content. Verify important information, including exam scores and answer explanations, against your own course materials.
9. Third-Party Services and AI Processing
To provide the Service we use third-party providers, including AI processing providers, cloud hosting providers and payment processors. Your content may be transmitted to and processed by these providers solely to deliver the Service. Further detail, including where data may be processed geographically, is in our Privacy Policy.
10. Intellectual Property
StudyFlow retains all rights, title and interest in the platform, branding, underlying technology and any non-personalized improvements derived from aggregated or de-identified usage data. AI-generated study materials produced from your User Content are licensed to you for personal, non-commercial study use. You may not resell, redistribute or commercially exploit AI-generated content without our written permission.
11. Account Suspension and Termination
We may suspend or terminate accounts that violate these Terms, including abuse of the credit system, use of automated tools or uploading prohibited content. Where practicable we will provide notice of the reason for action taken against an account.
On termination for cause, unused credits are forfeited. On voluntary account deletion, your data is handled as described in our Privacy Policy.
12. Disclaimer of Warranties
The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose or non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that AI-generated content will be accurate.
13. Limitation of Liability
To the maximum extent permitted by law, StudyFlow and its officers, employees and service providers will not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of data, loss of study progress or inaccuracies in AI-generated content, arising from your use of the Service. Our total liability for any claim arising from these Terms or the Service will not exceed the amount you paid to StudyFlow in the twelve months preceding the claim.
14. Indemnification
You agree to indemnify and hold StudyFlow harmless from any claims, damages or expenses arising from your violation of these Terms, your User Content, or your misuse of the Service.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of Quebec, Canada, without regard to conflict of law principles. Disputes arising from these Terms or the Service will be resolved in the courts of Quebec, Canada, unless otherwise required by applicable consumer protection law.
16. Changes to These Terms
We may update these Terms from time to time. Continued use of StudyFlow after changes take effect constitutes acceptance of the revised Terms, and we will provide notice of material changes through the platform.
17. Miscellaneous
If any provision of these Terms is found unenforceable, the remaining provisions continue in full effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and StudyFlow regarding the Service. You may not assign your rights under these Terms without our consent.
